General Terms and Conditions

Definitions
- "Kornex": Kornex platform and all other applicable services under the platform.
- "Business": Any person, organization, or entity that utilizes the Kornex platform for its commercial activities.
- "Platform": The Kornex application and services provided by Unicom SD Private Limited.
- "Users": Any individual authorized by the Business to access the platform.
- "Services": The functionalities and tools provided by Kornex through the platform.
- "Customer" / "Customers": Individuals who engage with both the Business and the Kornex platform for their needs or purchases.
Acceptance of Terms
These Terms and Conditions govern the usage of our website by the customers. By accessing and using our website, you are required to agree with our terms and conditions. It is the responsibility of all users to read and understand the terms and conditions outlined hereunder.
About Kornex & Service Description
Kornex acts as a technology platform and intermediary between users and participating merchants. Kornex is responsible for operating the platform, but the relevant merchant is responsible for the actual food, dining experience, availability, and fulfilment of the service offered through the platform.
By using Kornex platform or such services, you hereby:
- represent that you have read and understood the entirety of these Terms and Conditions;
- represent that you have legal capacity (including – by being a registered company in Sri Lanka) to enter a binding legal contract with Kornex subject to these Terms and Conditions;
For the purposes of accessing and using Kornex platform, you hereby further represent and warrant to Kornex:
- that any information related to your business (including company details Personal Data) posted, provided, uploaded or otherwise transmitted by you to Kornex is true, complete and accurate, and correspondingly undertake to update or amend such information as and when it becomes outdated, inaccurate or incomplete; and
- you will, under no circumstances, disclose or share any Personal Data made accessible to you via the Kornex Platform with any third-party – unless expressly authorized to do so by the relevant data subject to whom such information relates, unless such disclosure is mandated and required by and under applicable law.
Kornex may suspend or terminate accounts used in breach of these Terms or in connection with misuse, fraud, or unlawful conduct.
Use of the Platform
You agree that you will not:
- use the platform for any unlawful, fraudulent, abusive, or misleading purpose;
- interfere with the platform's security, operation, or availability;
- submit false bookings, false orders, or false complaints;
- impersonate another person or entity;
- copy, scrape, reproduce, or exploit platform content without authorization; or
- upload or transmit viruses, malicious code, or harmful material.
Merchant Information and Availability
Kornex may display information provided by merchants, including menus, pricing, images, promotions, opening hours, and availability. While Kornex takes reasonable steps to maintain platform accuracy, Kornex does not warrant that all merchant-provided information is always complete, accurate, or current. Errors, delays, or changes may occur.
An order may be rejected, cancelled, or modified where necessary due to:
- merchant unavailability;
- pricing or technical errors;
- suspected fraud;
- payment failure; or
- circumstances beyond reasonable control.
Orders, Bookings and Payments
When you place an order or make a booking through Kornex, you submit a request through the platform. Confirmation may be subject to acceptance by the merchant and/or successful payment processing.
You agree to provide valid payment information and authorize the relevant charges, including applicable taxes, fees, and service charges disclosed at checkout.
Payments may be processed through third-party providers. Electronic communications, records, and transactions may be legally recognized under Sri Lanka's Electronic Transactions Act, No. 19 of 2006, as amended.
Pricing and Promotions
Prices, offers, and promotions displayed on the platform may change at any time unless already confirmed in a completed transaction.
Promotions may be subject to:
- eligibility criteria;
- validity periods;
- usage limits; and
- additional promotional terms.
Kornex may cancel or refuse promotional benefits in cases of error, abuse, fraud, duplication, or breach of applicable promotional terms.
Intellectual Property
All rights, title, and interest in the Kornex platform, including its software, layout, branding, logos, text, graphics, and other content, are owned by or licensed to Kornex unless otherwise stated.
You are granted a limited, non-exclusive, revocable right to use the platform for personal or internal business use only, subject to these Terms.
You must not copy, adapt, reproduce, distribute, publish, reverse engineer, or commercially exploit any part of the platform without prior written permission, except as permitted by law.
Third-Party Services
Kornex may integrate with or rely on third-party services, including payment gateways, map services, and merchant systems.
Kornex is not responsible for the operation, availability, or terms of third-party services, except to the extent required by law.
Disclaimer
To the maximum extent permitted by law:
- the platform is provided on an "as available" and "as is" basis;
- Kornex does not guarantee uninterrupted, error-free, or fully secure operation of the platform at all times; and
- Kornex does not guarantee that merchant services, products, or content will always meet the expectations of every user.
However, nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded under Sri Lankan law.
Limitation of Liability
To the extent permitted by law, Kornex shall not be liable for indirect, incidental, special, exemplary, or consequential loss, including loss of profit, goodwill, data, business opportunity, or anticipated savings, arising from or connected with use of the platform.
Kornex's total liability for any direct claim arising out of a specific transaction shall, to the extent permitted by law, be limited to the amount paid by the user for that transaction giving rise to the claim.
This limitation does not apply to liability that cannot be excluded or limited by law.
Indemnity
You agree to indemnify and hold harmless Kornex, its affiliates, officers, employees, and agents from losses, claims, damages, liabilities, and expenses arising from:
- your misuse of the platform;
- your breach of these Terms; or
- your violation of any law or the rights of a third party.
Suspension and Termination
Kornex may suspend, restrict, or terminate access to the platform, in whole or in part, where reasonably necessary for:
- security;
- maintenance;
- legal compliance;
- suspected fraud or misuse; or
- breach of these Terms.
Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with the platform shall be governed by the laws of Sri Lanka.
Subject to any mandatory rights available under applicable law, the courts of Sri Lanka shall have jurisdiction over disputes arising from these Terms.
Complaints
If you have a complaint about a booking, order, refund, privacy issue, or the platform generally, please contact Kornex first through the support details on the website.
If a matter cannot be resolved, you may have the right to seek redress through the appropriate legal or regulatory channels in Sri Lanka, including the Consumer Affairs Authority, where applicable.
Modification of Services
Kornex reserves the right to modify or discontinue any part of the platform or services provided at any time. The business/customer will be notified of any changes at least 30 days in advance, and continued use of the platform signifies acceptance of the modified services.
Amendments
Kornex reserves the absolute right and discretion to amend, revise, update or otherwise modify these Terms at any time in our sole discretion. The Customers will be notified of any changes at least 30 days in advance and updated Terms will be posted on the platform with the revised date. Continued use of the platform after the updated Terms to take effect constitutes acceptance of the revised Terms to the extent permitted by law.
Acceptance and Binding Agreement
By registering or using the Platform, the Business enters into a legally binding agreement with Kornex. It confirms that it has full legal authority to bind the entity and its Users and it agrees to comply with these Terms and all applicable laws and regulations of Sri Lanka.
Eligibility and Legal Compliance
The Business represents and warrants that it is duly incorporated, registered, or authorized to operate under applicable laws.
- It holds and maintains all required licenses, permits, certifications, and approvals necessary for its operations
- Its operations comply with all applicable laws, including but not limited to Consumer Affairs Authority Act and Personal Data Protection Act No. 9 of 2022.
- Failure to comply may result in immediate suspension, restriction, or termination without liability to Kornex
Nature of Kornex Services
Kornex provides:
- A digital marketplace and booking infrastructure
- Customer acquisition, listing, and promotional tools
- Payment facilitation integrations and transaction support (where applicable)
- Basic analytics, reporting, and operational tools
Kornex does not provide:
- Own, operate, manage, or control the Business
- Prepare, store, or deliver goods or services
- Act as an agent, partner, or employer of the Business
- Guarantee customer traffic, bookings, or revenue
The Business acknowledges that Kornex acts strictly as an independent intermediary platform.
Business Obligations
The Business agrees to:
- Provide accurate, complete, and up-to-date business information, including pricing, menus, descriptions, availability, and policies.
- Immediately update any changes that may affect customer decisions or transactions.
- Be solely responsible for any loss or dispute arising from inaccurate information.
Service
Kornex offers services with honoring all confirmed bookings and accepted orders without unjustified refusal and provides services in a professional, safe, and lawful manner. Also it should ensure staff are adequately trained and qualified. Always maintain service standards consistent with representations made on the Platform.
Customer Data
All businesses are advised to use customer personal data strictly for order fulfilment and service delivery and implement appropriate confidentiality and data protection measures with not to disclose, sell, or misuse personal data. Also, it should ensure that its Users comply with data protection obligations.
Use of the Platform (Business)
The Business shall not:
- Engage in fraudulent, misleading, deceptive, or unfair practices
- Manipulate reviews, ratings, or booking activity
- Circumvent Kornex systems, including directing customers off-platform to avoid fees
- Use automated systems (bots/scraping tools) without authorization
- Reverse engineer, copy, or exploit the Platform or its underlying technology
- Upload malicious code, viruses, or harmful content
Pricing, Fees and Payments
The Business may set its own pricing unless otherwise agreed.
Kornex may charge:
- Commission fees on transactions
- Subscription or listing fees
- Advertising or promotional fees
Payment settlements (if applicable) will be processed subject to agreed timelines, verification procedures, and deductions
Kornex reserves the right to:
- Adjust fees with prior notice
- Deduct commissions, refunds, penalties, or chargebacks from payouts
- Withhold or delay payments in case of disputes, suspected fraud, or regulatory requirements
- Require supporting documentation for transactions
Intellectual Property (Business)
Kornex retains all rights, title, and interest in the Platform, including software, design, trademarks, and content. The Business grants Kornex a non-exclusive, worldwide, royalty-free license to:
- Use, reproduce, and display its business name, trademarks, logos, and content
- Promote listings across the Platform, social media, and marketing channels
- The Business warrants that it owns or has rights to all uploaded content
Data Protection (Business)
The Business agrees:
- To comply with the Personal Data Protection Act No. 9 of 2022
- To process personal data only for lawful, specific, and legitimate purposes
- To implement appropriate technical and organizational security measures
- To ensure its staff maintain confidentiality
Kornex acts as:
- Data controller for Platform operations
- Data processor where processing is carried out on behalf of the Business
Third-Party Services (Business)
Kornex may integrate with or rely on third-party services, including payment gateways, map services, and merchant systems.
Kornex is not responsible for the operation, availability, or terms of third-party services, Service failures, downtime, or errors or any loss arising from third-party services.
The Business agrees to comply with applicable third-party terms except to the extent required by law.
Disclaimer (Business)
To the maximum extent permitted by law:
- the platform is provided on an "as available" and "as is" basis;
- Kornex does not guarantee uninterrupted, error-free, or fully secure operation of the platform at all times; and
- Kornex does not guarantee that merchant services, products, or content will always meet the expectations of every user.
However, nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded under Sri Lankan law.
Limitation of Liability (Business)
To the extent permitted by law, Kornex shall not be liable for:
- Loss of profits
- Loss of business or opportunity
- Loss of goodwill or reputation
- Indirect, incidental, or consequential damages
Kornex's total liability shall not exceed to the total fees paid by the Business to Kornex in the preceding 3 months. This limitation does not apply where liability cannot be excluded under applicable law.
Complaints and Regulatory Rights
Businesses acknowledge that customers may escalate complaints to Consumer Affairs Authority and Kornex may cooperate with regulatory authorities and disclose necessary information as required by law.
